Maybe not so much "down sides" but there are a few unique things regarding corporate ownership of NFA items. A corporation typically has some annual maintenance. Corporations must be renewed. There is typically a fee for renewal.

SBR's are nice, but a bit much if you're short on money. Also, there's limits to it's effective range, and you can't carry it across state lines (without the proper paperwork.) The pistol is not so bad, if used correctly.
Suppressors, on the other hand, are badass. I wish I had ponied up and gone through with buying one years ago. The ability to shoot whenever you want without hearing protection is priceless. As deaf as I am at age 33, I wish I had purchased one from the beginning.
